The affairs of the Association shall be managed by a Board of Directors consisting of natural persons appointed by the Declarant or elected by the Members in accordance with these Bylaws.

The Board of Directors shall consist of an uneven number of not less than three (3) nor more than seven (7) Directors.

The Board shall have three (3) Directors unless and until the number of Directors is increased in accordance with this Section 4.1.

Prior to the expiration of the Declarant’s Rights and Obligations Period as provided in the Declaration, the number of Directors shall be determined from time to time by the Declarant; thereafter, the number of Directors shall be determined by a vote of the Members at any annual or special meeting of Members and the number of Directors may be changed by a vote of the Members at any subsequent annual or special meeting of the Members; provided, however, that (a) the limitations on the total number of Directors set forth in this Section 4.1 shall continue to apply, and (b) no change of the number of Directors shall operate to curtail or extend the term of any incumbent Director.

After the expiration of the Declarant’s Rights and Obligations Period, a majority of the members of the Board of Directors shall be Members of the Association.
