WHEREAS, the Board of Directors of GlenRiddle Community Association. Inc. (the “Association”) is empowered by Article 10 of the Declaration of Covenants, Conditions, Easements and Restrictions (the “Declaration”) and Article 7, Section 7.1(a) of the By Laws with the authority to adopt and publish Community Codes and other rules and regulations of the Association, including, without limitation, those relating to the use of the Community Property and any facilities situated thereon, and the personal conduct of the Members and their guests thereon, which apply to all Owners, tenants. occupants, guests and invitees of any Living Unit within the Association, and to establish penalties for the infraction thereof; and,

WHEREAS, Article 7 of the Declaration provides for the creation, existence, powers, and duties of the Design Review Entity; and,

WHEREAS, Article 7 of the Declaration further provides for the creation or appointment of a Design Review Committee to exercise such rights and powers of the Design Review Entity as may he assigned to it pursuant to Article 7. Section 7.5 of the Declaration; and,

WHEREAS, Article 10, Section 10.5 of the Declaration provides that the Board of Directors shall have full power and authority to take any action as may be authorized under the Governing Documents or applicable law; and,

WHEREAS, Article 10 of the By-Laws provides that the Board of Directors may appoint a Design Review Committee to exercise such rights and powers of the Design Review Entity; and,

WHEREAS, the Board of Directors has heretofore created a Design Review Committee for such purpose and has also appointed members to serve on such Design Review Committee; and,

WHEREAS, Article 10, Section 10.2 of the Declaration provides that the Community Codes shall have the same force and effect and binding nature as the covenants, conditions, easements and restrictions contained within the Declaration and applicable to all property within the Association; and,

WHEREAS, notwithstanding the prior creation of the Design Review Committee and the appointment of members thereto, Community Code #4, which was adopted and executed January 28. 2010 by the Board of Directors for the Association, contains numerous references throughout to an Architectural Control Committee, the obvious intention of such references being that the Architectural Control Committee was the Design Review Entity contemplated in the Declaration; and,

WHEREAS, The Board of Directors of the Association wishes to prevent any confusion, ambiguity, or lack of clarity within or among its governing documents and the provisions thereof; and,

WHEREAS, it is the preference of the Board of Directors that the functions of the Design Review Entity contemplated in and by the Declaration be undertaken by an Architectural Control Committee as stated in Community Code #4:

NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors of the GlenRiddle Community Association, Inc. hereby establishes the following Community Code for the Association which shall be binding upon all Unit Owners, tenants, occupants, successors, heirs, and who currently, or in the future, may possess any interest in the Association.

COMMUNITY CODE

The terms Design Review Entity, Design Review Committee, and Architectural Control Committee, as may have been used in the Declaration, the By Laws, the Community Codes, Rules and Regulations, Resolutions, and any other governing documents of the Association, shall be considered as synonymous and interchangeable, referencing the same committee with the same powers and duties.

The use of multiple terms to identify the same committee creates confusion, ambiguity, and lack of clarity within the Governing Documents.

The committee created and appointed by the Board of Directors for the purpose of carrying out the duties and responsibilities of the Design Review Entity, as contemplated in the Declaration, shall henceforth be known solely as the Architectural Control Committee.

Any references in the Governing Documents to the Design Review Entity (where that term refers to the committee appointed by the Board of Directors) or the Design Review Committee shall be understood to refer to the Architectural Control Committee.

Any future submissions, applications, or requests for architectural approval under any provision of the Governing Documents relating to improvements shall be made to the Architectural Control Committee.

All future Amendments, Community Codes, Rules and Regulations, Resolutions, or other alterations of the Governing Documents of the Association and appointed by the Board of’ Directors for the purpose of architectural review shall make reference solely to the Architectural Control Committee.
