The constitution typically includes provisions related to the Club or Branch’s purpose, share structure, voting procedures, director qualifications and responsibilities, and meeting procedures.

Having a constitution provides you:

What should be in your Constitution

Name / Purpose Clearly state the name of the club or branch and its purpose or mission
Membership Outline the qualifications for memberships, the rights and responsibilities of members, and the process for joining and leaving the Club or Branch
Board of Directors Specify the number of directors, qualifications, their duties and responsibilities. It should also outline the process for electing and removing directors and the terms of service.
Meetings Provide guidelines for holding meetings, including the frequency of meetings, notice requirements, and the quorum necessary for conducting business
Voting Outline the rules for voting on matters of the Club or Branch, including the types of decisions that require a vote, the methods of voting, and the required majorities for different types of decisions.
Amendments Include a provision outlining the process for amending the constitution, including the required procedures for proposing and approving amendments.
Judiciary Include provisions outlining the process for discontinuation of affiliations or memberships
Dissolution Guidance for dissolving the Club or Branch, including the process for distributing any remaining assets or funds.
Legal Compliance Ensure that the Club or Branch operates in accordance with applicable laws and regulations, including any requirements for non-profit Club or Branches

What you shouldn’t include in your Constitution
